Vertedge Privacy Policy

Vertedge Health Analytics, LLC (“Vertedge”) is committed to protecting the privacy and security of its users’ personal information. Unless otherwise indicated, this Privacy Policy (“Vertedge Privacy Policy”) applies to Vertedge and all Vertedge websites (“Vertedge Websites”), as well as any other website that references the Vertedge Privacy Policy (collectively together with the Vertedge Websites, “Covered Websites”). The Vertedge Privacy Policy also applies to any data that Vertedge may collect on or receive through the Covered Websites (“Covered Website Data”). For purposes of the Vertedge Privacy Policy, the terms “we,” “us,” and “our” as used herein refer to Vertedge and the terms “you,” and “your” refers to you, as a user of the Vertedge Websites.

By accessing the Covered Websites, you represent that you are at least 18 years of age and acknowledge and accept the Vertedge Privacy Policy for yourself and/or for the entity or people on behalf of which or whom you are acting. You further represent that if you are accessing the Covered Websites on behalf of a third party, said third party is aware of this Vertedge Privacy Policy and fully agrees to its terms.

Each time you access a Covered Website, or voluntarily provide us with information, you are consenting to our collection, use and disclosure of the information you provide, and are further agreeing to receive email and other communications from us. If you are not at least 18 years of age and do not consent to the terms of the Vertedge Privacy Policy and related terms and conditions, do not access the Covered Websites. This policy applies to all users of the Covered Websites, regardless of whether you do or do not register or create any type of account with Vertedge.

1. COLLECTION OF INFORMATION

As a result of your accessing a Covered Website, we may collect and store both “Personal Information” and “Non-Personal Information” about you. “Personal Information” includes information such as your name, address, and email address that we can use to identify you and is voluntarily provided to us in a variety of ways, including, without limitation, by your registering for an account on a Covered Website or by sending us an email message. You may refuse to supply Personal Information as requested by a Covered Website, but in doing so you may significantly impair your use of that Covered Website. “Non-Personal Information” includes, without limitation, information such as general demographic data, preferences you submit, and anonymous usage data such as clicks that cannot be used to personally identify you. Non-Personal Information also includes information, if any, provided to us by your computer or mobile device browser, such as date and time of access, access device type, browser type, referring website, and other information that does not personally identify you. Such information, if collected, will be tracked via the use of small text files with anonymous unique identifiers (“Cookies”) and may be used by us to maintain and/or improve website services and online experiences for users, track website traffic access and usage, and for other business purposes.

Please also note that Vertedge complies with the terms of the Children Online Privacy Protection Act (“COPPA”), which defines what operators of websites and online services must do to protect privacy and safety of children online. Vertedge does not knowingly market to or knowingly collect personally identifiable information from children under the age of thirteen.

2. STORAGE OF DATA

We routinely contract with and utilize third-party vendors to provide services for our users. Accordingly, you acknowledge and agree that we may store your data on servers provided by a third-party hosting vendor.

3. SHARING INFORMATION WITH THIRD PARTIES

While Vertedge generally does not share your Personal Information with third parties without your consent, we may disclose your Personal Information, without notice to you, if we are required by law to do so, or believe in good faith that we are required by law to do so, or believe in good faith that we need to do so to protect or defend our rights and/or our property, or the safety of our users or the public at large. We may also disclose your Personal Information, without notice, to vendors such as payment processors, email processors and other third-party providers, who are performing services for us, provided that their use of such information shall only be to the extent reasonably necessary to perform such services for us or on our behalf and that they maintain the confidentiality of your Personal Information. Vertedge reserves the right to use and disclose Non-Personal Information to our partners, advertisers and other third parties at our sole discretion.

4. PROTECTION OF PERSONAL INFORMATION

Vertedge secures your Personal Information from unauthorized access, use, or disclosure on the Vertedge Websites. If and when your Personal Information is transmitted to other websites, it is protected through the use of encryption, such as the Secure Sockets Layer (SSL) protocol. While we take appropriate steps to protect your Personal Information, you acknowledge and agree that the transmission of data over the Internet or via any wireless network is not 100% secure and beyond our reasonable control and, as such, the security, integrity, and privacy of any and all information and data exchanged between you and us through the Covered Websites is not guaranteed.

You also acknowledge and agree that you have the right at any time to prevent us from contacting you for marketing or promotional purposes by choosing to unsubscribe to or opt out of communications with us as provided on emails you may receive from us for this purpose. However, notwithstanding an affirmative action on your part to unsubscribe or opt out, we shall be permitted to continue to send you administrative communications, including, without limitation, periodic updates to the Vertedge Privacy Policy and website service-related announcements, using your Personal Information to do so.

5. VERTEDGE PRIVACY POLICY UPDATES

We reserve the right to change the Vertedge Privacy Policy at any time. If we do so, will notify you about material changes in how we manage Personal Information and other relevant modifications by placing a prominent notice on the Vertedge Websites and/or by updating this Vertedge Privacy Policy page. Any such modifications to the Vertedge Privacy Policy shall take effect upon your continued access to and/or use of the Vertedge Websites five (5) days we first post such modifications on the Vertedge Websites or otherwise provide you with notice of such modifications. You are solely responsible to check the Vertedge Websites from time to time to identify and review any modifications to the terms of the Vertedge Privacy Policy, and should you not agree to such modifications, you must stop access to and/or use of the Vertedge Websites. You agree that if you have provided your email address to us, we shall be allowed, but not required to send you at any time email regarding Vertedge Privacy Policy updates and other administrative issues.

6. VERTEDGE MERGER OR ACQUISITION

In the event that we undertake a business transaction, such as a merger with or acquisition by another company, or the sale of all or a portion of our assets, you acknowledge and consent that (a) your Personal Information may be among Vertedge assets merged or transferred, (b) such merger or transfer of your Personal Information is permitted under this Vertedge Privacy Policy, and (c) any merged entity or acquirer of our company and/or assets, as applicable, may continue to process your Personal Information as set forth in this Vertedge Privacy Policy, as and if amended as permitted herein.
